These Terms & Conditions govern your use of the products, services, and solutions provided by Zimego SaaS Solutions LLC ("Zimego", "we", "us", or "our"), including our white‑label offerings built on the GoHighLevel platform.

By accessing or using any Zimego service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Acceptance of Terms

By creating an account, subscribing to any plan, or otherwise using our solutions (collectively, the "Services"), you agree to these Terms, our Privacy Policy, and any order form, proposal, or statement of work that references these Terms (each an "Order"). If you do not agree, you must not access or use the Services.

If there is a conflict between these Terms and an Order, the Order will control to the extent of the conflict, unless expressly stated otherwise in writing and signed by both parties.

2. Eligibility & Account Responsibilities

2.1 Eligibility. You may use the Services only if you are at least 18 years old and legally capable of entering into a binding contract. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2.2 Account registration. To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account, whether or not authorized by you.

2.3 Security. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Zimego is not liable for any loss or damage arising from your failure to safeguard your credentials or comply with these security obligations.

2.4 Authorized users. Depending on your subscription, you may be permitted to create sub‑accounts or assign seats to authorized users. You are responsible for the actions of all users under your account and for ensuring they comply with these Terms and any applicable laws.

3. Subscriptions, Fees & Renewals

3.1 Subscription plans. Access to the Services is provided on a subscription basis as described on our website or in your Order. We may offer different tiers, add‑ons, and usage‑based features, which may be updated from time to time.

3.2 Fees and billing. You agree to pay all fees specified in your Order or on our pricing page. Unless otherwise stated, fees are in U.S. dollars, exclusive of taxes, and are charged in advance on a recurring basis (monthly or annually) using the payment method you provide.

3.3 Automatic renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date through your account settings or by providing written notice in accordance with these Terms.

3.4 Price changes. We may modify our fees or introduce new charges with prior notice. Fee changes will become effective at the start of the next billing cycle after the notice period. Your continued use of the Services after the effective date constitutes acceptance of the new fees.

4. Cancellations & Refunds

4.1 Cancellation. You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will retain access to the Services until that date unless we terminate earlier under these Terms.

4.2 Refund policy. Unless expressly stated otherwise in an Order or a specific written agreement, all fees are non‑refundable and non‑creditable, including in cases of partial use, downgrades, or early termination. Any promotional or trial period is offered on a one‑time basis per customer at our discretion.

4.3 Late payments. If any fees are not paid when due, we may suspend or terminate your access to the Services, charge interest on overdue amounts, and/or pursue any other remedies available at law or equity.

5.1 Acceptable Use

You agree to use the Services in compliance with all applicable laws, regulations, and industry standards, including those related to privacy, spam, marketing communications, and data protection. You must not:

  • Send unsolicited or deceptive communications (including SMS, email, voice, or social messages) in violation of CAN‑SPAM, TCPA, CASL, GDPR, or other applicable laws.

  • Use the Services for any illegal, harmful, fraudulent, misleading, or abusive purpose.

  • Upload or transmit malware, viruses, or other malicious code.

  • Interfere with or disrupt the integrity, performance, or security of the Services or any third‑party systems.

  • Attempt to reverse engineer, decompile, or otherwise derive the source code of the Services.

  • Resell, sublicense, or make the Services available to third parties except as expressly authorized in writing.

Section 5.2: Fair Use and Included Messaging Policy

A. Included Usage & "No-Rebilling" Guarantee

Zimego SaaS Solutions operates on a "bundled cost" model. We do not pass through individual per-message or per-minute usage charges to the Client’s sub-account for standard AI Voice, SMS, or Email activity. These costs are included in the flat monthly subscription fee, provided the Client adheres to the Fair Use thresholds defined herein.

B. Client Responsibility for Compliance & Registration Costs

While Zimego covers the ongoing cost of message segments and call minutes, the Client bears 100% of the responsibility and financial cost for legal and carrier-mandated compliance. This includes, but is not limited to:

i. A2P 10DLC Brand Registration: One-time and recurring carrier fees.

ii. Campaign Registry Fees: Monthly or quarterly fees for active messaging campaigns.

iii. Vetting & Verification Fees: Any third-party costs associated with business identity verification. Failure to complete these registrations may result in carrier-level filtering or suspension, for which Zimego is not liable.

C. Fair Use Thresholds & Excessive Usage

To protect the integrity of the Zimego network, usage is monitored for "Excessive Consumption." Usage is deemed excessive if it exceeds 300% of the median volume for similar businesses within the Client’s industry. In the event of excessive usage, Zimego reserves the right to:

i. Restrict or throttle automated outbound workflows.

ii. Require the Client to move to a "Pay-as-you-go" usage model for high-volume segments.

iii. Invoice the Client for overages that threaten the commercial viability of the "Included" plan.

D. Prohibited High-Volume Activity

The "Included Messaging" model is designed for conversational business automation, not mass marketing. The following activities are strictly prohibited and will result in immediate service suspension:

i. Cold Outreach: Messaging contacts who have not provided express "Prior Express Written Consent" (PEWC).

ii. Purchased Lists: Using the AI Agents to contact leads from third-party databases.

iii. Spamming: Any activity that triggers a carrier "Spam" rate of >0.5%.

6. Relationship with GoHighLevel & Third‑Party Services

6.1 Platform foundation. Our solutions are built on and powered by the GoHighLevel platform and related third‑party tools. While we configure, brand, and support these solutions, we do not own or control GoHighLevel or any underlying third‑party platforms.

6.2 Third‑party terms. Your use of features that rely on GoHighLevel or other third parties (such as email, SMS, telephony, payment gateways, integrations, and APIs) may be subject to additional terms, policies, and fees imposed by those providers. You agree to comply with all such third‑party terms, which are between you and the third‑party provider.

6.3 No affiliation or endorsement. Zimego SaaS Solutions LLC is an independent provider and is not owned, operated, or formally endorsed by GoHighLevel. All trademarks, service marks, and logos remain the property of their respective owners.

7. Customer Data & Privacy

7.1 Customer data. "Customer Data" means any data, content, or materials that you or your users submit to or generate within the Services, including contact records, campaigns, messages, files, and configuration settings. You retain all rights, title, and interest in and to Customer Data, subject to the limited licenses granted in these Terms.

7.2 Our use of Customer Data. You grant Zimego a non‑exclusive, worldwide, royalty‑free license to host, copy, process, transmit, and display Customer Data as reasonably necessary to provide, maintain, secure, and improve the Services and to comply with law. We may generate aggregated and de‑identified data for analytics and benchmarking, which we may use for any lawful purpose.

7.3 Data protection & privacy policy. Our collection, use, and disclosure of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you acknowledge that you have read and understood our Privacy Policy and will obtain all necessary consents from your contacts and end users.

7.4 Data retention. Upon termination or expiration of your subscription, we may delete or deactivate your account and associated Customer Data after a commercially reasonable period, unless we are required to retain it by law, by a legal process, or under an agreement with a third‑party provider.

7.5 SMS Communications. If you provide your mobile phone number when creating an account, submitting a form, or interacting with our Services, you may receive SMS messages from Zimego SaaS Solutions LLC related to account notifications, service alerts, appointment confirmations, customer support responses, or other operational communications.

Message frequency may vary depending on your interactions with the Services.

Message and data rates may apply according to your mobile carrier plan.

You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. For assistance, reply HELP or contact us using the information in Section 16.

7.6 Carrier Liability Disclaimer. Mobile carriers are not liable for delayed or undelivered SMS messages. Message delivery is subject to effective transmission from your mobile service provider and may be affected by factors outside the control of Zimego SaaS Solutions LLC, including carrier network availability and service disruptions.

8. Intellectual Property

8.1 Ownership. Zimego and its licensors own all rights, title, and interest in and to the Services, including but not limited to software, configurations, templates, workflows, documentation, branding, and all related intellectual property rights. Except for the limited rights expressly granted to you in these Terms, no other rights are granted, whether by implication, estoppel, or otherwise.

8.2 License to use the Services. Subject to your compliance with these Terms and timely payment of all fees, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Services for your internal business purposes or, where expressly permitted, to deliver services to your own clients.

8.3 Feedback. If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit such Feedback without any obligation or compensation to you.

9. Warranties & Disclaimers

9.1 Service availability. We aim to provide reliable, high‑availability Services, but we do not guarantee that the Services will be uninterrupted, timely, secure, or error‑free. Downtime may occur due to maintenance, updates, failures of third‑party providers (including GoHighLevel), or other factors beyond our reasonable control.

9.2 No guarantee of results. Marketing, sales, and business outcomes depend on many factors beyond our control. We do not guarantee any specific results, revenue, lead volume, or performance from your use of the Services or any recommended strategies, campaigns, or configurations.

9.3 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZIMEGO SAAS SOLUTIONS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO ZIMEGO FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zimego SaaS Solutions LLC and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) Customer Data; (c) your violation of these Terms or applicable law; or (d) your interactions with your own customers or end users.

12. Term, Suspension & Termination

12.1 Term. These Terms remain in effect for as long as you have an active account or continue to use the Services.

12.2 Suspension. We may suspend or restrict your access to the Services, with or without notice, if we reasonably believe that: (a) you have violated these Terms; (b) your use poses a security risk or may cause harm to us or others; or (c) you are delinquent in payment obligations.

12.3 Termination by you. You may terminate your subscription at the end of your current billing period by following the cancellation process described in Section 4 or in your account settings.

12.4 Termination by us. We may terminate your access to the Services for any material breach of these Terms that remains uncured for ten (10) days after written notice, or immediately if required by law, by a third‑party provider, or due to fraudulent or abusive activity.

13. Governing Law & Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which Zimego SaaS Solutions LLC is organized, without regard to conflict‑of‑law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in that jurisdiction, and each party irrevocably submits to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will notify you by updating the "Last updated" date, posting a notice on our website, or sending you a direct communication. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.

15. Miscellaneous

15.1 Entire agreement. These Terms, together with any applicable Orders and our Privacy Policy, constitute the entire agreement between you and Zimego regarding the Services and supersede all prior or contemporaneous agreements, proposals, or communications.

15.2 Assignment. You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

15.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

15.4 No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.5 Force majeure. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, labor disputes, failures of third‑party providers, or interruptions of internet or hosting services.
